Terms of Service
These terms govern access to D1 property-intelligence signals, workspaces, subscriptions and related Digentus LLC services.
These Terms of Service form an agreement between you and Digentus LLC concerning Digentus One, also referred to as D1.
By creating a D1 account, selecting an acceptance control that references these Terms, purchasing a subscription or using D1 after these Terms are presented to you, you agree to these Terms and the Privacy Policy. Do not create an account, purchase a subscription or continue using D1 if you do not agree.
Certain provisions, including acceptable-use restrictions, intellectual-property protections, disclaimers and limitations of liability, also apply to visitors who access publicly available D1 pages or previews.
Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to use D1.
If you use D1 for a company, partnership, fund, brokerage, property-management business or other organization, you represent that you have authority to bind that organization to these terms.
Electronic Communications and Notices
You consent to receive transactional communications concerning D1 electronically, including secure access links, authentication notices, account notices, billing confirmations, payment-failure notices, renewal information, security alerts and changes to these Terms or the Privacy Policy.
Electronic communications may be delivered to the email address associated with your account or displayed through D1. You are responsible for keeping your account email address current and accessible.
A communication sent to your designated email address will be treated as delivered when sent, except when returned to Digentus as undeliverable or where applicable law requires another delivery method.
Nothing in this section waives a non-waivable legal requirement concerning formal service of process or another legally prescribed notice.
D1 Service
D1 organizes property, ownership, filing, market and related evidence into property-intelligence signals and investigative workflows.
Features may include public signal previews, saved signals, property dossiers, valuation context, comparable-property information, timelines, owner intelligence, income intelligence and related research tools.
Available data, update frequency, signal depth and features may vary by county, property, source, plan and market.
Not Professional Advice or a Title Search
D1 is an intelligence and research service. It is not a title company, title search, appraisal, inspection, legal opinion, tax opinion, accounting service, investment adviser, lender or financial adviser.
D1 does not replace independent verification, professional due diligence or review of the original public record.
You are responsible for evaluating information and obtaining appropriate legal, financial, tax, title, brokerage, inspection or other professional advice before acting.
No Brokerage or Agency Relationship
Use of D1 does not create a brokerage, agency, fiduciary, partnership, joint venture or employment relationship between you and Digentus LLC.
D1 does not negotiate real-estate contracts, represent a buyer or seller, establish procuring cause or create an agency relationship through the display of property intelligence.
Public Records and Data Limitations
D1 relies on public records, permitted data sources, derived indicators and modeled relationships. Source information may be delayed, incomplete, inconsistent, amended, removed or incorrectly recorded.
Signals, confidence measures, valuations, estimates, timelines and classifications are analytical outputs and may change as additional evidence becomes available.
D1 does not guarantee that a property will be listed, sold, refinanced, distressed, converted, developed, rented or otherwise produce a particular result.
Automated and Model-Generated Outputs
D1 may use rules, statistical methods, automated processing, machine-learning systems or artificial-intelligence-assisted systems to organize records, detect patterns, calculate indicators, classify signal strength, estimate confidence and generate summaries or property-intelligence outputs.
Automated outputs are analytical aids rather than verified statements of fact. They may reflect incomplete, delayed, conflicting or incorrectly associated source information.
You must independently verify material information against original records and qualified professional sources before making a purchase, sale, financing, legal, tax, investment, insurance, employment, housing or other consequential decision.
D1 must not be used as the sole basis for a decision that produces legal or similarly significant effects concerning an individual.
Accounts and Secure Access
You must provide accurate information and keep your account information current.
D1 may use secure magic links or similar authentication methods. Access links are personal to the intended recipient and must not be shared, published or forwarded to unauthorized persons.
You are responsible for securing your email account, devices and active D1 sessions and for activity occurring through your account.
Notify Digentus promptly if you believe your account or access link has been compromised.
Privacy, Security and Usage Records
The D1 Privacy Policy describes how Digentus collects, uses, protects, retains and discloses personal information and technical information associated with D1.
To operate and protect D1, Digentus may maintain account, authentication, acceptance, subscription, usage, property-research, device, browser, network, security, fraud-prevention and diagnostic records.
Network and device-related identifiers may be stored in hashed, pseudonymous or aggregated form where appropriate. Use of D1 does not constitute consent to processing that applicable law requires Digentus to obtain through a separate affirmative-consent mechanism.
You may not interfere with, falsify or intentionally evade security, authentication, usage-measurement, billing or audit records.
Free Access and Usage Limits
D1 may provide guest previews, registered free access or promotional access subject to stated limits.
Free access may limit signal previews, saved signals, dossiers, intelligence layers, evidence visibility or other features.
Attempting to evade usage limits by creating duplicate identities, manipulating browser storage, automating requests or using other circumvention methods is prohibited.
Plans and Features
D1 currently offers access levels identified as Registered Free, Scout, Investor Pro and D1 Operator. Digentus may also introduce add-ons, promotional access or other plan variations displayed on the applicable pricing, comparison, checkout or upgrade surface.
Registered Free is a no-cost account level. Scout, Investor Pro and D1 Operator are paid recurring subscription plans unless the applicable checkout interface expressly states otherwise.
The pricing and comparison interfaces may summarize features, intelligence depth and usage capacity. The checkout interface identifies the selected plan, current price, billing frequency, included limits and material subscription terms before purchase.
Registered Free may include limited property previews, saved-signal access and basic intelligence. Scout may include unlimited signal previews, expanded saved-signal capacity and limited dossier access. Investor Pro may include full dossier access, valuation detail, comparable-property intelligence, timeline intelligence and expanded saved-signal capacity. D1 Operator may include increased or unlimited operating capacity, owner intelligence, income intelligence, full evidence visibility and advanced or enterprise workflows.
Specific features and limits remain subject to the entitlement configuration associated with the selected plan and the terms displayed at checkout. A feature described as unlimited remains subject to lawful use, technical safeguards, abuse prevention and these Terms.
User-facing marketing names may differ from internal billing, entitlement or software identifiers. For example, an internal identifier may be used to implement the user-facing D1 Operator plan. Internal identifiers do not create a separate plan or alter the features presented to the user.
Plan features, limits, prices and names may change prospectively. Except where reasonably necessary for security, legal compliance, abuse prevention or service integrity, a material reduction in prepaid access will not take effect before the end of the current paid billing period.
Material changes affecting the renewal of an active paid subscription will be communicated as required by applicable law.
Recurring Billing and Automatic Renewal
Unless checkout expressly states otherwise, paid D1 plans are billed in advance on a recurring monthly basis and automatically renew for successive monthly billing periods until canceled.
Before purchase, the checkout interface will identify the recurring nature of the subscription, the amount to be charged, the billing interval, the included plan and limits, and the available cancellation method.
By completing checkout, you expressly authorize Digentus and its payment provider to charge the payment method supplied for the recurring subscription amount, applicable taxes and any other fees clearly disclosed before purchase.
Billing is processed through Stripe or another designated payment provider. Digentus does not receive or store your complete payment-card number.
You are responsible for maintaining a valid payment method and accurate billing information.
A subscription-price change will apply no earlier than the first renewal occurring after reasonable advance notice. Digentus will obtain additional consent where applicable law requires it.
Where applicable law requires an automatic-renewal reminder or another renewal notice, Digentus will provide that notice in the required form and time period.
Cancellation and Refunds
You may cancel a paid subscription at any time through the available D1 billing portal or by emailing [email protected] from the email address associated with the account.
Cancellation through the billing portal is effective when the portal confirms the cancellation. Digentus may verify the identity and account authority associated with an email cancellation request before changing the subscription.
Cancellation prevents future renewals and normally takes effect at the end of the current paid billing period. Access to paid features may continue until that period ends unless access is suspended for abuse, security risk, payment reversal or another permitted reason.
Subscription fees are generally non-refundable, and D1 does not provide prorated refunds or credits for unused portions of a billing period, except where required by law or expressly stated in writing.
If Digentus issues a discretionary refund or credit in one instance, that action does not create an obligation to issue a similar refund or credit in another instance.
Canceling a subscription does not automatically delete the associated D1 account, saved workspace or information retained under the Privacy Policy.
Taxes and Payment Failure
Prices may exclude taxes imposed by a governmental authority. You are responsible for applicable taxes unless a valid exemption applies.
If a payment fails, D1 may retry the payment, restrict paid functionality, suspend the subscription or request updated billing information.
You remain responsible for charges incurred before cancellation or suspension.
Acceptable Use
You may use D1 only for lawful property research, investment investigation, market analysis and related legitimate business purposes.
- Do not access D1 through unauthorized automated systems, scraping tools, crawlers or bulk extraction processes.
- Do not reverse engineer, decompile, copy or attempt to discover proprietary scoring, models, datasets or internal logic except where such restriction is prohibited by law.
- Do not bypass authentication, subscription controls, access gates, preview limits or security measures.
- Do not resell, sublicense, publish or redistribute D1 data, dossiers or intelligence as a competing database or standalone data product without written authorization.
- Do not use D1 to harass, stalk, threaten, discriminate against or unlawfully target a person.
- Do not upload malicious code, interfere with the service or attempt unauthorized access to systems or accounts.
- Do not misrepresent D1 data as an official government record, guaranteed fact, title opinion or professional conclusion.
No Consumer Reporting Use
D1 is not a consumer reporting agency and does not provide consumer reports.
You may not use D1 information to determine a person’s eligibility for credit, insurance, employment, housing, tenant screening or another purpose regulated by the Fair Credit Reporting Act or similar consumer-reporting laws.
You are solely responsible for ensuring that your use of property and ownership information complies with fair-housing, anti-discrimination, privacy, solicitation and other applicable laws.
Communications and Solicitation Compliance
The presence of a name, mailing address, property address, telephone number, email address or other contact information in D1 does not mean that the person has consented to receive calls, text messages, emails, visits, advertisements or solicitations.
You are solely responsible for determining whether and how you may lawfully contact another person and for maintaining records of any consent, business relationship, opt-out request or other legal basis on which you rely.
Your communications must comply with applicable telemarketing, telephone, text-message, commercial-email, do-not-call, privacy, licensing, real-estate, fair-housing, anti-harassment and consumer-protection laws.
You may not use D1 to conduct unlawful automated calling, robotexting, mass emailing, deceptive outreach, impersonation, pretexting, repeated unwanted contact or communications that conceal the sender’s identity or purpose.
You must promptly honor legally valid opt-out, unsubscribe, do-not-call and cease-contact requests.
Intellectual Property
D1, its interfaces, visual systems, software, models, scoring logic, normalized datasets, compilations, documentation, branding and original content are owned by Digentus LLC or its licensors and are protected by applicable intellectual-property laws.
Subject to these terms and your applicable plan, Digentus grants you a limited, non-exclusive, non-transferable and revocable right to access and use D1 for your internal lawful purposes.
No ownership rights are transferred to you.
User Input and Feedback
You retain rights you may have in notes, preferences and other original information you submit to D1.
You grant Digentus the rights reasonably necessary to host, process, secure and display that information to provide the service.
Feedback, ideas and suggestions may be used by Digentus without restriction or compensation, provided Digentus does not publicly identify you without permission.
Third-Party Services
D1 may rely on or link to public agencies, payment processors, mapping providers, infrastructure providers and other third-party services.
Digentus does not control independent third-party services and is not responsible for their availability, accuracy, security, policies or conduct.
Your use of a third-party service may be governed by that provider’s separate terms and privacy policy.
Availability and Changes
D1 may modify, add, remove, suspend or discontinue features, datasets, markets or integrations.
We may perform maintenance or experience interruptions caused by public-record systems, vendors, networks, security events or circumstances outside our control.
Digentus does not guarantee uninterrupted or error-free availability.
Suspension and Termination
Digentus may restrict, suspend or terminate access when reasonably necessary to address nonpayment, unlawful use, security risk, abuse, violation of these terms or harm to D1 or another party.
You may stop using D1 at any time. Subscription cancellation and account deletion are separate actions.
Provisions that by their nature should survive termination will remain effective, including payment obligations, intellectual-property provisions, disclaimers, liability limitations and dispute provisions.
Following suspension or termination, you may lose access to saved signals, dossiers, account history and workspace information. Information may continue to be retained, deleted, anonymized or aggregated as described in the Privacy Policy and as reasonably necessary for billing, security, fraud prevention, dispute resolution or legal compliance.
Where an export feature is available, you are responsible for exporting information you need before voluntarily deleting the account or allowing access to terminate.
Disclaimers
To the maximum extent permitted by law, D1 is provided on an “as is” and “as available” basis.
Digentus disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability and results.
No information displayed by D1 constitutes a guarantee that an opportunity exists or that a transaction, investment or operational decision will be successful.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
Limitation of Liability
To the maximum extent permitted by law, Digentus LLC and its owners, officers, employees, contractors and providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost opportunities, lost data or business interruption arising from D1.
To the maximum extent permitted by law, the aggregate liability of Digentus arising from D1 will not exceed the greater of one hundred United States dollars or the amount you paid to Digentus for D1 during the twelve months preceding the event giving rise to the claim.
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not permit certain limitations, so this section applies only to the extent permitted.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Digentus LLC and its owners, officers, employees and contractors from third-party claims, losses, liabilities, damages and reasonable expenses arising from your unlawful use of D1, material violation of these Terms, unlawful communications or solicitation, misuse of personal or property information, or infringement of another party’s rights.
Digentus will provide reasonable notice of a covered claim and may participate in its defense. You may not settle a claim in a manner that admits wrongdoing by Digentus, imposes an obligation on Digentus or restricts Digentus without its prior written consent.
This section does not require indemnification to the extent a claim was caused by Digentus’s own willful misconduct or where indemnification is prohibited by applicable law.
Governing Law and Venue
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Subject to any non-waivable right or applicable law requiring otherwise, disputes arising from these terms or D1 will be brought in the state or federal courts located in Hillsborough County, Florida, and the parties consent to their jurisdiction.
Changes to These Terms
Digentus may update these terms to reflect changes to D1, business operations or applicable law.
The effective date identifies the current version. Material changes may be communicated through D1, account notices or email.
Continued use after updated terms become effective constitutes acceptance to the extent permitted by law.
General Provisions
If a provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in effect.
A failure to enforce a provision is not a waiver.
You may not assign these terms without written consent from Digentus. Digentus may assign them as part of a merger, reorganization, financing, sale of assets or similar transaction.
These terms, together with the Privacy Policy and any checkout terms presented to you, constitute the agreement concerning D1.
Neither party will be liable for delay or failure caused by events beyond its reasonable control, except that this provision does not excuse payment obligations already incurred.
If these Terms conflict with checkout terms presented for a specific subscription, the checkout terms control only with respect to the selected plan, price, billing frequency and included limits. The Privacy Policy controls with respect to the processing of personal information, and these Terms control in all other respects.
